Driver Terms of Use

1. Introduction & Acceptance

These Driver Terms of Use ("Driver Terms") form a legally binding agreement between you ("Driver", "you", or "your") and RideAgo OÜ, a company registered in Estonia ("RideAgo", "we", "us", or "our"). By registering as a driver on the RideAgo Platform, you acknowledge that you have read, understood, and agree to be bound by these Driver Terms in addition to our general Terms of Service and Privacy Policy.

2. Independent Contractor Status

You expressly acknowledge and agree that you are an independent contractor and not an employee, agent, joint venturer, or partner of RideAgo. Nothing in these Driver Terms shall create an employment relationship between you and RideAgo. You retain sole discretion over when, where, and how you perform transfer services.

3. Legal Documents & Licensing

You must possess and maintain all legal documents, permits, licenses, and authorizations required by the country and jurisdiction in which you operate to lawfully provide passenger transportation services. This includes but is not limited to a valid driver's license, vehicle registration, commercial passenger transport permits, and tax identification.

4. Vehicle Eligibility

Both single-vehicle drivers and operators of multiple vehicles ("fleet operators") may register on the RideAgo Platform. All vehicles registered must meet the following minimum standards:

  • Comfort class (C-segment) or above
  • Model year no older than 5 years from the date of registration
  • Valid passenger transportation insurance
  • Clean, well-maintained, and hygienic at all times
  • Annual technical inspection up-to-date

5. Required Documentation

During registration and throughout the duration of your activity on the Platform, you must submit and keep updated all documents requested by RideAgo. Failure to provide accurate and current documentation may result in account suspension or termination. Submission of falsified documents constitutes fraud and may result in legal action.

6. Commission Structure

RideAgo charges a commission of 15% (fifteen percent) on every completed transfer. The commission is automatically deducted from the gross transfer fare before any payout is processed.

7. Payment Terms

7.1 Payment Provider

All payments to drivers are processed exclusively through Garna.io. You must create and maintain an active Garna.io account in order to receive payouts. RideAgo is not responsible for delays or failures caused by issues with your Garna.io account.

7.2 Currency

All driver earnings and payouts are denominated and disbursed in Euros (EUR). RideAgo is not responsible for currency exchange fees, conversion rates, or banking charges imposed by your local financial institution or Garna.io.

7.3 Minimum Payout Threshold

The minimum balance required to receive an on-request payout is EUR 850. Earnings below this threshold accumulate in your driver wallet and are released automatically as described in 7.5 below.

7.4 Payout Processing Time

Once you reach the minimum payout threshold and request a payout, payment is processed within 7 working days. Working days exclude weekends and Estonian public holidays.

7.5 Below-Threshold Earnings

If your accumulated balance does not reach EUR 850, the earnings are paid out automatically approximately 6 months after they were earned. To receive a payout sooner, keep working until you cross the threshold and request a payout under 7.4.

7.5 Tax Responsibility

You are solely responsible for declaring and paying all taxes, contributions, and levies arising from your earnings on the Platform in accordance with the laws of your country of residence and operation. RideAgo does not withhold any taxes on your behalf.

8. Job Assignment & Exclusivity

Each transfer assignment received through the Platform is exclusively assigned to the registered driver who accepted it. Subcontracting, transferring, or delegating an accepted job to any party not registered on the RideAgo Platform is strictly prohibited.

8.1 Transfer to Non-RideAgo Drivers

If a driver transfers an accepted job to any individual not registered on the RideAgo Platform, the following sanctions apply: (a) immediate temporary or permanent account closure, and (b) forfeiture of all pending earnings without exception.

8.2 Transfer to Other RideAgo Drivers

If, for legitimate operational reasons, you need to transfer an accepted job to another verified RideAgo driver through the Platform, a fee of EUR 5 per transferred assignment will be deducted from your driver wallet.

9. Prohibited Conduct

The following behaviors are strictly prohibited and will result in immediate account termination and forfeiture of all pending earnings:

  • Harassing, intimidating, or making any passenger uncomfortable in any way
  • Soliciting, advertising, or attempting to sell additional transfers, tours, sightseeing services, or any other commercial offerings to passengers
  • Using profane, abusive, insulting, threatening, or discriminatory language
  • Engaging in any form of physical or verbal harassment, including unwanted advances
  • Discriminating against passengers on the basis of race, religion, nationality, gender, sexual orientation, disability, or any other protected characteristic
  • Recording passengers (audio or video) without explicit consent
  • Sharing passenger personal data with third parties
  • Operating the vehicle under the influence of alcohol, drugs, or any substance impairing judgment

10. No-Show Policy

If a passenger fails to appear at the agreed pickup point, the following uniform waiting period and procedure apply, regardless of transfer type:

10.1 Waiting Time

The driver must remain at the pickup point for 90 minutes from the scheduled pickup time. The "Mark as No-Show" action in the driver app becomes available automatically after this period elapses. This rule applies equally to airport arrival transfers, airport departure transfers, and address-to-address transfers.

10.2 No-Show Documentation

When the no-show slide is used, the driver app captures the GPS coordinates of the pickup point automatically. In addition, the driver should send dispatch a quick photo of the location where they waited. Additional documentation may be requested only in disputed cases.

10.3 No-Show Compensation

A confirmed no-show entitles the driver to 50% of the original driver fee, paid without commission deduction.

11. Location Services Requirement

To receive job assignments through the RideAgo driver application, you must keep location services enabled and active at all times while using the app. Location data is used solely to match you with nearby transfers, verify pickup and drop-off events, and provide route navigation. Drivers with disabled location services will not receive any job offers.

12. Insurance Obligation

You must maintain valid commercial passenger transportation insurance for the entire duration of your activity on the Platform. The insurance must cover all passengers and meet the minimum requirements set by the laws of your country of operation. RideAgo reserves the right to verify insurance coverage at any time.

13. Vehicle Standards & Cleanliness

Your vehicle must be clean, hygienic, and in proper working condition before every transfer. Smoking inside the vehicle is strictly prohibited, including by the driver, passengers, or any other person. Smoke odors, food residues, or any unsanitary conditions inside the vehicle constitute a violation of these Driver Terms.

14. Professional Appearance & Conduct

You must present yourself in a professional manner at all times while providing transfer services. This includes:

  • Smart casual or formal attire (no shorts, sandals, sleeveless shirts, or stained clothing)
  • Personal hygiene and grooming
  • Polite, courteous, and respectful behavior toward passengers
  • Holding a clearly visible passenger name sign at airport arrivals
  • Assisting passengers with loading and unloading luggage

15. Incident Reporting

You must report to RideAgo any of the following events within 24 hours of occurrence:

  • Traffic accidents involving the vehicle, regardless of severity
  • Damage to the vehicle that may affect future transfers
  • Passenger complaints or disputes
  • Health emergencies during a transfer
  • Theft, vandalism, or any criminal activity

16. Step-by-Step Trip Marking & Auto-Completion

Drivers are required to mark every step of each trip (Start trip, Waiting for passenger, Passenger arrived, Complete trip) inside the RideAgo driver app, in real time, at the correct location. The GPS coordinates and timestamps captured by the app are the official record of the service.

16.1 Auto-Completion (€10 penalty)

If a trip remains unmarked by the driver, the system automatically closes it 5 hours after the scheduled pickup time and tags it as auto-completed. A penalty of EUR 10 is deducted from the driver wallet for every auto-completed trip, regardless of whether the trip was actually performed. Only trips marked step-by-step by the driver count as properly finished.

16.2 False Completion (account closure)

Manually marking a trip as "completed" when the service was not actually performed, or from a location inconsistent with the trip, constitutes fraud. This is treated separately from auto-completion and will result in immediate and permanent account closure, complete forfeiture of all pending earnings, and potential legal action.

17. KYC & Identity Verification

During registration, you must complete the Know Your Customer (KYC) identity verification process by submitting authentic government-issued identification documents. Submission of forged, altered, or fraudulent documents constitutes a criminal offense and may result in legal proceedings in addition to permanent account closure.

18. Equipment Requirements

You are responsible for providing your own:

  • Smartphone compatible with the RideAgo driver application (iOS 14+ or Android 9+)
  • Active mobile data plan with sufficient coverage in your operating area
  • Phone charger and in-vehicle mounting

You must keep the RideAgo driver application updated to the latest available version. Failure to update may result in inability to receive job assignments.

19. Right to Refuse Service

You have the right to refuse a passenger only in the following circumstances:

  • The passenger appears to be under the influence of alcohol or drugs to a degree that poses a safety risk
  • The passenger displays violent, threatening, or abusive behavior
  • The passenger requests to perform illegal activities during the transfer
  • The passenger's luggage or condition poses a clear health or safety risk

Any refusal must be reported to RideAgo immediately with a detailed explanation. Refusal for any reason other than those listed above may be considered a cancellation and subject to the penalties in Section 21.

20. Performance Rating System

Drivers are rated by passengers after each completed transfer on a scale of 1 to 5. RideAgo monitors driver ratings to maintain service quality:

  • Drivers with an average rating below 4.5 will receive reduced job assignment priority
  • Drivers with an average rating below 4.0 will be placed under formal review and may face account suspension
  • Continued poor ratings may result in permanent account termination

21. Driver Cancellations

Cancelling a confirmed transfer assignment without a valid reason disrupts the Platform and harms passenger experience. The following progressive penalties apply for cancellations within the same calendar day:

  • 1st cancellation (same day): EUR 10 penalty deducted from driver wallet
  • 2nd cancellation (same day): EUR 20 penalty deducted from driver wallet
  • 3rd cancellation (same day): Account suspension for 1 week, or indefinite suspension at RideAgo's sole discretion

The cancellation counter resets at midnight (00:00) Estonian local time each day. Cancellations made due to documented force majeure (severe weather, road closures, mechanical breakdowns supported by evidence) may be exempt at RideAgo's discretion.

22. Data Protection Compliance

You must handle all passenger personal data — including names, contact details, addresses, and travel information — in accordance with applicable data protection laws (including GDPR, KVKK, and equivalent regulations). You may not store, copy, share, or use passenger data for any purpose other than completing the assigned transfer.

23. Right to Modify

RideAgo reserves the absolute right to modify, amend, update, or replace these Driver Terms at any time, at its sole discretion. Drivers will be notified of material changes via email and/or in-app notification at least 7 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised terms. If you do not agree to the revised terms, you must immediately cease using the Platform.

24. General Sanctions for Violations

Violation of any provision of these Driver Terms — whether listed above or generally relating to professional, ethical, or legal conduct — may result in the immediate and permanent closure of the driver's account. In such cases, all pending earnings, balances, and unprocessed payouts shall be forfeited in full and shall not be paid out under any circumstances.

RideAgo may, in its sole discretion and as permitted by applicable law, pursue additional legal remedies including but not limited to civil claims for damages, criminal complaints, and reporting to relevant authorities.

25. Dispute Resolution

Any dispute arising from or related to these Driver Terms shall first be addressed through direct communication with RideAgo at info@rideago.com. If the dispute cannot be resolved amicably within 30 days, it shall be referred to mediation under the rules of the Estonian Chamber of Commerce. If mediation fails, the dispute shall be brought exclusively before the courts of Tallinn, Estonia.

26. Severability

If any provision of these Driver Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid while preserving its original intent.
