Terms of Service

1. Introduction & Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and RideAgo OÜ, a company registered in Estonia ("RideAgo", "we", "us", or "our"), governing your access to and use of our website, mobile application, and airport transfer coordination services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. Definitions

• "Platform" means the RideAgo website, mobile application, APIs, and all related tools and services.
• "Driver" means an independent contractor who has registered on the Platform to provide airport transfer services.
• "Partner" means a travel agency, corporate client, or transportation provider that has entered into a partnership arrangement with RideAgo.
• "Transfer Service" means the airport-to-destination or destination-to-airport ground transportation arranged through the Platform.
• "Content" means all text, images, data, software, and other materials available on or through the Platform.

3. Eligibility & Registration

3.1 General Requirements

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

3.2 Driver Registration

Drivers must meet the following requirements to register on the Platform:

• Be between 21 and 65 years of age
• Hold a valid driver's license for a minimum of 3 years
• Have a clean driving record with no suspensions or serious violations
• Be registered as self-employed or operate as a legally established business entity
• Operate a vehicle that meets our vehicle standards (C-segment or above, no older than 5 years)
• Maintain valid vehicle insurance and all required permits for passenger transportation

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account. RideAgo shall not be liable for any loss or damage arising from your failure to secure your account.

4. Description of Services

RideAgo operates as a technology platform that connects drivers with passengers requiring airport ground transportation. We coordinate transfer assignments, facilitate communication, and provide supporting tools and services. RideAgo does not itself provide transportation services. Drivers are independent contractors, not employees of RideAgo.

RideAgo acts as an intermediary and is not a party to the transportation contract between the driver and the passenger. We do not guarantee the availability, quality, or safety of any specific transfer.

5. Driver Obligations

As a registered Driver on the Platform, you agree to:

• Provide professional, courteous, and safe transportation services at all times
• Arrive at the designated pickup location on time, with the vehicle clean and in proper working condition
• Provide Meet & Greet service at airports, including holding a name sign for the passenger
• Wait for the passenger for the agreed free waiting period (1 hour at airports, 15 minutes for city pickups)
• Assist passengers with luggage loading and unloading
• Comply with all applicable traffic laws, regulations, and licensing requirements in your jurisdiction
• Maintain valid insurance coverage for passenger transportation throughout the duration of your registration
• Not subcontract or delegate transfer assignments to third parties without prior written approval from RideAgo
• Keep your profile information, vehicle details, and documentation current and accurate at all times

6. Partner & Agency Obligations

Partners and travel agencies using the Platform agree to:

• Provide accurate business information during registration and keep it updated
• Use the Platform only for lawful purposes related to arranging airport transfers
• Not misrepresent RideAgo services or make unauthorized promises to end clients
• Comply with all applicable laws and regulations in their jurisdiction of operation
• Not reverse-engineer, copy, or otherwise misuse RideAgo technology, APIs, or proprietary systems

7. Fees, Payments & Commission

7.1 Pricing

All transfer prices are fixed and agreed upon before the service is confirmed. Prices include the base fare and any applicable surcharges. There is no surge pricing on the RideAgo Platform.

7.2 Driver Compensation

Drivers receive compensation for completed transfers as specified in their individual driver agreement. RideAgo retains a commission from each completed transfer. Payment terms, schedules, and commission rates are detailed in the driver onboarding documentation.

7.3 Partner Commission

Travel agencies and partners earn commission on bookings generated through their accounts. Commission rates are specified in individual partnership agreements.

7.4 Taxes

Each User is solely responsible for determining and fulfilling their own tax obligations arising from income earned through the Platform. RideAgo does not withhold taxes on behalf of Drivers or Partners.

8. Cancellation & Refund Policy

8.1 Cancellation by the Client

• Cancellations made more than 24 hours before the scheduled pickup: full refund
• Cancellations made between 6 and 24 hours before the scheduled pickup: 50% refund
• Cancellations made less than 6 hours before the scheduled pickup: no refund
• No-shows: no refund

8.2 Cancellation by the Driver

Drivers who cancel confirmed assignments without valid cause may be subject to penalties, including reduced assignment priority, temporary suspension, or permanent removal from the Platform.

8.3 Cancellation by RideAgo

RideAgo reserves the right to cancel any transfer if circumstances make it unsafe, illegal, or impractical to proceed. In such cases, a full refund will be provided to the client.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose
• Provide false, misleading, or inaccurate information during registration or at any time thereafter
• Attempt to circumvent, disable, or interfere with the Platform's security features
• Scrape, harvest, or collect data from the Platform using automated means
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Platform to transmit spam, malware, or other harmful content
• Engage in any activity that could damage, overload, or impair the Platform's functionality
• Contact passengers or clients directly to arrange transfers outside the Platform in an attempt to bypass RideAgo's commission structure

10. Intellectual Property

All Content on the Platform — including but not limited to the RideAgo name, logo, trademarks, website design, software, text, images, and graphics — is the exclusive property of RideAgo OÜ or its licensors and is protected by international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Content without the prior written consent of RideAgo.

11. Limitation of Liability

Without limiting the foregoing, RideAgo is not liable for:

• The conduct, actions, or omissions of any Driver, passenger, or third party
• Personal injury, property damage, or any other harm resulting from a transfer arranged through the Platform
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, delays, or failures caused by circumstances beyond our reasonable control
• Inaccuracies in information provided by third parties, including flight tracking data

RideAgo's total aggregate liability to you for any claims arising from or related to these Terms shall not exceed the total amount of commissions or fees paid by you to RideAgo during the 12-month period preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RideAgo OÜ, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party rights
• Any content or information you submit through the Platform
• Any transfer service you provide or receive through the Platform

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at info@rideago.com. Termination does not relieve you of any obligations incurred prior to termination.

13.2 Termination by RideAgo

RideAgo reserves the right to suspend or permanently terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Repeated poor service ratings or customer complaints
• Extended period of inactivity
• At our sole discretion if we believe your continued use poses a risk to the Platform or its users

14. Dispute Resolution & Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

14.2 Dispute Resolution

In the event of a dispute arising from or related to these Terms:

1. Informal Resolution: You agree to first attempt to resolve the dispute by contacting us at info@rideago.com. We will make reasonable efforts to resolve your concern within 30 days.
2. Mediation: If informal resolution fails, the parties agree to submit the dispute to mediation under the rules of the Estonian Chamber of Commerce and Industry.
3. Jurisdiction: If mediation is unsuccessful, any legal proceedings shall be brought exclusively before the courts of Tallinn, Estonia, and you consent to the personal jurisdiction of such courts.

14.3 EU Consumer Rights

If you are a consumer residing in the European Union, nothing in these Terms affects your rights under mandatory consumer protection legislation in your country of residence. You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr.

15. Modifications to These Terms

RideAgo reserves the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users via email at least 14 days before the changes take effect
• Display a prominent notice on our Platform

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Platform.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RideAgo regarding your use of the Platform. These Terms supersede all prior agreements, understandings, and communications, whether written or oral.
